TransDigm to acquire Jet Parts Engineering and Victor Sierra Aviation

TransDigm Group Incorporated (TransDigm) has entered into a definitive agreement to acquire Jet Parts Engineering and Victor Sierra Aviation Holdings, portfolio businesses of Vance Street Capital, for approximately US$2.2 billion in cash, including certain tax benefits. The acquisition expands TransDigm’s presence in the commercial aerospace aftermarket, adding two established platforms focused on proprietary, highly engineered components and services.

Jet Parts Engineering (JPE), headquartered in Seattle, Washington, is an independent designer and manufacturer of aerospace aftermarket solutions. The company specialises in proprietary OEM-alternative parts and repair services, supplying commercial, regional and cargo airlines, as well as maintenance, repair and overhaul providers. JPE’s portfolio is largely made up of ‘Parts Manufacturer Approval’ components, with strong representation across major commercial aircraft platforms. Nearly all of its revenue is generated from the commercial aftermarket.

Alongside its engineering headquarters in Seattle, JPE operates engineering and component repair facilities in Texas, New York, Florida, Alabama and the United Kingdom. The business employs approximately 300 people and is recognised for its engineering capability and long-standing customer relationships within the global aerospace aftermarket.

Victor Sierra Aviation Holdings (VSA) is a designer, manufacturer and distributor of proprietary PMA and other aftermarket parts, serving the commercial aerospace market with a particular focus on general and business aviation. VSA comprises a portfolio of well-known brands, including McFarlane Aviation, Tempest Aero Group and Aviation Products Systems. Its offering includes highly engineered PMA products, custom-designed and OEM components, as well as service and repair station capabilities. Almost all of VSA’s revenue is derived from the commercial aftermarket.

VSA’s primary operations are located in Baldwin City, Kansas; Burlington, North Carolina; and Granite City, Illinois, supported by additional facilities in Illinois, Texas, Kentucky and Washington to maintain close proximity to customers. VSA employs approximately 400 people.
