VSE Corporation has announced a definitive agreement to acquire GenNx/AeroRepair IntermediateCo Inc., the parent company of Aero 3. The seller, GenNx360 Capital Partners, is a private equity firm with a strong record in industrial and service businesses.
Aero 3 is a global provider of maintenance, repair and overhaul (MRO) services and aviation aftermarket distribution. The company supports the commercial wheel and brake sector through a mix of repair facilities, distribution partnerships, and proprietary engineering solutions.
Founded in 1994 and based in Manchester, New Hampshire, Aero 3 employs around 280 people. It serves more than 750 customers worldwide and handles about 50,000 MRO events each year.
The acquisition will significantly strengthen VSE’s position in the aviation aftermarket. Aero 3’s three main business lines will complement VSE’s existing operations. Its wheel and brake MRO services span nine strategically located facilities in the United States, Canada and the United Kingdom. These sites provide proximity to key customers, efficient logistics, and fast turnaround times.
Moreover, Aero 3 distributes OEM wheel and brake components under authorised agreements, enhancing VSE’s role as a trusted OEM-aligned partner. The company also develops proprietary repair and manufacturing solutions, offering high-margin, specialised products that expand VSE’s engineering capabilities.
According to VSE, the deal underscores its commitment to building a broader, more integrated aviation services portfolio. It will also boost access to key markets and strengthen relationships with global airlines and OEM partners.
