AkzoNobel shareholders have overwhelmingly approved all resolutions related to the proposed all-share merger with Axalta at an Extraordinary General Meeting, clearing a major milestone in the transaction.

Shareholders endorsed the merger, changes to the Articles of Association, the share issuance linked to the deal, proposed board appointments and the remuneration policy. Axalta shareholders also approved the merger at a separate meeting.

With shareholder approvals secured, the transaction moves to the next phase. Completion remains subject to regulatory clearances and customary closing conditions, with the merger expected to be finalised by the end of 2026 or early 2027.

AkzoNobel CEO Greg Poux-Guillaume said the vote provides a clear mandate to create a stronger, more innovative global coatings leader. Supervisory Board Chair Ben Noteboom said the backing reflects shareholder confidence in the companies’ growth ambitions and allows them to focus on completing the merger and unlocking its combined potential.
